BeatBid Producer Agreement

BeatBid is a live-streaming and digital marketplace platform that allows music producers to:

• Stream beats live
• Auction or sell beats
• Interact with buyers
• Upload digital music content
• Receive payments through the platform

BeatBid acts solely as a technology platform and marketplace facilitator. BeatBid does not own Producer content.

You represent and warrant that:

• You are at least 18 years old
• You have authority to enter this Agreement
• You can legally sell and license musical works
• You are not prohibited from using the platform under applicable law

Producer retains ownership of all original beats, recordings, compositions, and content uploaded to the platform.

By uploading content to BeatBid, Producer grants BeatBid a worldwide, non-exclusive, royalty-free license to:

• Host content
• Stream content
• Display content
• Promote content
• Create clips/snippets for marketing
• Distribute content as necessary to operate the platform

This license ends when content is removed from the platform, except for archived backups, legal compliance purposes, or previously created promotional materials.

Producer represents and warrants that:

• Producer owns or controls all rights necessary for uploaded content
• Uploaded content does not infringe copyrights, trademarks, publicity rights, or other intellectual property rights
• Uploaded content does not contain unauthorized samples
• Uploaded content is not stolen
• Uploaded content is not generated using copyrighted AI training outputs that violate third-party rights
• Producer has the authority to sell or license the content
• Producer will comply with all applicable laws and regulations

Producer is solely responsible for obtaining sample clearances and licenses.

Producer may not upload or stream content that:

• Infringes intellectual property rights
• Contains hate speech or unlawful material
• Contains malware or malicious code
• Violates applicable laws
• Impersonates another creator or brand
• Uses unauthorized copyrighted vocals, instrumentals, or loops

BeatBid reserves the right to remove any content at its sole discretion.

BeatBid retains a platform fee of 10% of completed transactions unless otherwise stated. Fees may be modified upon notice to users. Payment processing fees charged by third-party processors (including Stripe or others) may also apply.

Producer payouts are processed according to BeatBid payout schedules. BeatBid reserves the right to:

• Hold payouts for fraud investigations
• Delay payouts for disputes or chargebacks
• Freeze accounts suspected of violations
• Reverse transactions involving fraud or unauthorized activity

Producer is responsible for providing accurate payment and tax information.

BeatBid may issue refunds, reverse payouts, or recover funds if:

• Fraud is suspected
• A chargeback occurs
• Content is found to infringe intellectual property rights
• Producer violates this Agreement

Producer agrees that BeatBid may deduct disputed amounts from future payouts.

BeatBid respects intellectual property rights and complies with the Digital Millennium Copyright Act (“DMCA”). If BeatBid receives a valid copyright complaint:

• Content may be removed immediately
• Producer may receive a warning or suspension
• Repeat infringers may be permanently banned

Producer agrees to cooperate with copyright investigations.

BeatBid may suspend, restrict, or terminate accounts at any time for:

• Copyright infringement
• Fraudulent activity
• Abuse of the platform
• Chargeback abuse
• Harassment or misconduct
• Violations of this Agreement

BeatBid may remove content without prior notice.

BeatBid does not guarantee:

• Sales
• Exposure
• Audience size
• Revenue
• Streaming performance
• Buyer activity

Producer uses the platform at their own risk.

To the maximum extent permitted by law, BeatBid shall not be liable for:

• Lost profits
• Lost business opportunities
• Copyright disputes between users
• Indirect or consequential damages
• Payment processor failures
• Data loss
• Unauthorized access
• User misconduct

BeatBid’s maximum liability shall not exceed the total fees paid to BeatBid by Producer in the prior 12 months.

Producer agrees to indemnify and hold harmless BeatBid, its owners, employees, contractors, affiliates, and partners from claims arising out of:

• Uploaded content
• Copyright infringement
• Trademark disputes
• Unauthorized samples
• Producer misconduct
• Violations of law
• Violations of this Agreement

Producer acknowledges that BeatBid owns all rights to:

• The BeatBid platform
• Branding
• Logos
• UI/UX
• Marketplace systems
• Auction systems
• Software
• Website design
• Features
• Technology framework
• Proprietary workflows

Producer may not:

• Copy the platform
• Replicate the business model for commercial use
• Reverse engineer platform systems
• Scrape platform data
• Use BeatBid branding without permission

Producer agrees not to intentionally circumvent BeatBid to avoid platform fees by directing buyers off-platform for transactions initiated through BeatBid. BeatBid reserves the right to suspend accounts engaged in fee avoidance.

BeatBid may use third-party services for:

• Payments
• Streaming
• Hosting
• Analytics
• Notifications
• Security

BeatBid is not responsible for outages or failures caused by third-party providers.

Any dispute arising from this Agreement shall be resolved through binding arbitration in the State of Missouri, unless prohibited by law. Producer waives the right to participate in class-action lawsuits. Each party shall bear its own legal costs unless otherwise determined by the arbitrator.

This Agreement shall be governed by the laws of the State of Missouri, without regard to conflict of law principles.

BeatBid may update this Agreement at any time. Continued use of the platform after updates constitutes acceptance of revised terms.

This Agreement constitutes the entire agreement between Producer and BeatBid regarding platform use and supersedes prior agreements or understandings.

By creating a producer account, checking the acceptance box, or using BeatBid, Producer acknowledges that they have read, understood, and agreed to this Agreement.
