Terms and Conditions

Welcome to BeatBid.Live™ (“BeatBid,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of the BeatBid website, mobile applications, live-streaming services, marketplace, and all related services (collectively, the “Services”).

By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.

You represent and warrant that:

• You are at least 18 years of age or the age of majority in your jurisdiction
• You have the legal capacity to enter into a binding contract
• You are not barred from using the Services under applicable law
• All information you provide is accurate, current, and complete

To access certain features of the Services, you must register for an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

• You may not share your account credentials with third parties
• You must notify us immediately of any unauthorized use of your account
• We reserve the right to suspend or terminate accounts that violate these Terms
• We may require identity verification at any time

BeatBid provides a live-streaming and digital marketplace platform that enables producers to stream, auction, and sell beats to buyers. Users may participate as:

• Buyers — users who browse, bid on, and purchase beats and licenses
• Producers — users who create accounts to stream, list, and sell beats

All transactions facilitated through the platform are between the buyer and the producer. BeatBid acts as a technology platform and marketplace facilitator, not as a party to any sale or license agreement between users.

When you place a bid on BeatBid, you are making a binding offer to purchase the beat at the bid price if you are the winning bidder.

• Bids are final and cannot be withdrawn unless the auction is cancelled by the producer or BeatBid
• The highest bid at the close of the auction wins, subject to any reserve price set by the producer
• Winning bidders must complete payment within the time specified in the auction terms
• Failure to complete payment may result in account suspension and forfeiture of bidding privileges
• BeatBid reserves the right to cancel auctions, remove bids, or void transactions in cases of fraud, technical errors, or violations of these Terms

All payments on BeatBid are processed through third-party payment processors (e.g., Stripe). By making a purchase, you agree to the terms of the applicable payment processor.

• Buyers are charged the final bid or purchase price plus any applicable taxes and payment processing fees
• Producers are subject to a platform fee, currently 10% of completed transactions, unless otherwise stated
• Platform fees may be modified with notice to users
• All prices are displayed in the currency indicated at checkout
• BeatBid is not responsible for payment processor errors, delays, or failures

Producer payouts are processed according to BeatBid payout schedules and the producer’s connected payment account.

• Producers must provide accurate payment and tax information
• BeatBid may hold or delay payouts for fraud investigations, disputes, or chargebacks
• BeatBid may reverse payouts or recover funds in cases of fraud, infringement, or violation of these Terms

Your Content: You retain ownership of all content you upload, stream, or post on BeatBid. By uploading content, you grant BeatBid a worldwide, non-exclusive, royalty-free license to host, display, stream, promote, and distribute your content as necessary to operate the platform.

BeatBid Content: All BeatBid trademarks, logos, software, designs, features, and platform technology are owned by BeatBid Live LLC and are protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Services without our written permission.

You may not use the Services to:

• Upload, stream, or sell content that infringes any third-party intellectual property rights
• Engage in fraud, money laundering, or other illegal activities
• Circumvent platform fees by directing transactions off-platform
• Harass, abuse, or intimidate other users
• Distribute malware, viruses, or malicious code
• Impersonate another person or entity
• Manipulate auctions, bids, or rankings through artificial means
• Scrape, crawl, or data-mine the platform without authorization
• Violate any applicable laws or regulations

BeatBid reserves the right to remove content, suspend accounts, and report illegal activity to authorities.

You may terminate your account at any time by contacting support. BeatBid may suspend or terminate your account and access to the Services at any time, with or without notice, for any violation of these Terms or for any other reason at our sole discretion.

Upon termination, all licenses granted by you to BeatBid will terminate, but provisions that by their nature should survive termination will remain in effect.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEATBID DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

• BeatBid does not guarantee uninterrupted, secure, or error-free access to the Services
• BeatBid does not guarantee the accuracy, quality, or legality of any content posted by users
• BeatBid does not guarantee that auctions will result in sales or that bids will be accepted
• BeatBid is not responsible for disputes between users

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEATBID LIVE LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Lost profits or revenue
• Lost business opportunities
• Data loss or corruption
• Unauthorized access to your account or data
• Payment processor failures or errors
• Disputes between users
• Damages arising from content posted by other users

In no event shall BeatBid’s total liability to you exceed the greater of (a) the amount you paid to BeatBid in the 12 months preceding the claim, or (b) one hundred U.S. dollars ($100).

You agree to indemnify, defend, and hold harmless BeatBid Live LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:

• Your access to or use of the Services
• Your content posted on the platform
• Your violation of these Terms
• Your violation of any third-party right, including intellectual property or privacy rights
• Your interactions with other users

These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in the State of Missouri, unless prohibited by applicable law. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

BeatBid may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the platform or by sending you an email. Your continued use of the Services after the changes take effect constitutes your acceptance of the revised Terms.

The Services may integrate with or rely on third-party services, including but not limited to Stripe (payments), AWS IVS (streaming), and analytics providers. Your use of these third-party services is subject to their respective terms and policies. BeatBid is not responsible for the availability, performance, or practices of third-party services.

These Terms, together with the Privacy Policy, Producer Agreement (if applicable), and Auction Rules, constitute the entire agreement between you and BeatBid regarding the Services and supersede all prior agreements, understandings, and communications.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
